Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of the Cover Comply platform operated by Qeeper Limited (“we”, “us”, “our”, “Company”).

By accessing or using the Cover Comply platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the platform.

2. Definitions

For the purposes of these Terms:

  • Platform means the Cover Comply software platform, website, tools, and related services.
  • Service means all products and services provided via the Platform.
  • Client means any property manager, landlord, contractor, or business user using the Platform to manage compliance, suppliers, or jobs.
  • Supplier means any third-party service provider (e.g. electricians, plumbers, cleaners) engaged via the Platform.
  • User means any person accessing or using the Platform.
  • Client Data means all data submitted by Clients to the Platform.
  • Supplier Data means all data submitted by Suppliers or collected in connection with their use of the Platform.
  • User Data means all data submitted by any User.

3. The Platform and Service

3.1 The Platform enables property managers and businesses to:

  • Manage maintenance and service requests
  • Store and request compliance and insurance documentation
  • Connect with Suppliers
  • Track supplier compliance and documentation status
  • Access network-based supplier information where available

3.2 We act as a technology provider and intermediary. We do not employ Suppliers.

3.3 The description of Services is indicative. Specific features may be detailed in commercial agreements, order forms, or onboarding documentation.

4. Use of the Platform

4.1 You agree to use the Platform only for lawful business purposes.

4.2 You must not:

  • Misuse, copy, or interfere with the Platform
  • Attempt unauthorised access to systems or data
  • Provide false or misleading information
  • Use the Platform for fraudulent or illegal activity
  • Reverse engineer or replicate the Platform

5. Accounts and Access

5.1 You are responsible for maintaining the confidentiality of your login credentials.

5.2 You are responsible for all activity carried out under your account.

5.3 We may suspend or restrict access if we reasonably suspect misuse or security risk.

6. Supplier and Client Data

6.1 Clients may upload and manage Client Data via the Platform.

6.2 Suppliers may upload documents including insurance documentation, compliance documents, and business information.

6.3 By using the Platform, you grant us a worldwide, non-exclusive licence to:

  • Host, store, process, and transmit User Data
  • Use data to operate and improve the Platform
  • Enable sharing of relevant data between authorised Users

6.4 We do not guarantee the accuracy, completeness, or validity of third-party information, including Supplier insurance documentation.

7. The Cover Comply Network

7.1 The Platform may include network features that allow Users to discover Suppliers based on prior activity or compliance history.

7.2 We may facilitate sharing of insurance documentation where appropriate.

7.3 Network data is provided for operational and informational purposes only and should not be relied upon as a guarantee of suitability.

8. Compliance and Insurance Documentation

8.1 The Platform may be used to request and manage insurance documentation.

8.2 We may review or process insurance documentation using automated and manual methods for compliance tracking purposes.

8.3 We do not provide insurance advice and do not guarantee that any Supplier is fully compliant or insured.

9. Payments

9.1 Fees may be charged for use of the Service as agreed in an order form or pricing plan.

9.2 Payments are processed via third-party payment providers.

9.3 Fees are non-refundable unless required by law.

10. Availability and Changes

10.1 We will use reasonable efforts to maintain availability of the Platform.

10.2 We may modify, suspend, or discontinue features at any time.

10.3 We may introduce additional services or terms from time to time.

11. Intellectual Property

11.1 All rights in the Platform (including software, design, branding, and content) are owned by Qeeper Limited or its licensors.

11.2 You may not copy, reproduce, or create derivative works from the Platform.

12. Confidentiality

12.1 Each party agrees to keep confidential any non-public business, technical, or commercial information disclosed through use of the Platform.

12.2 Confidential information must not be disclosed without written consent, except where required by law.

13. Data Protection

13.1 We process personal data in accordance with the UK GDPR and Data Protection Act 2018.

13.2 Full details are set out in our Privacy Policy.

14. Liability

14.1 We are not liable for:

  • Actions or omissions of Suppliers
  • Loss arising from reliance on third-party data
  • Indirect or consequential losses
  • Service interruptions outside our control

14.2 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or anything that cannot legally be excluded.

15. Indemnity

You agree to indemnify us against claims arising from:

  • Your misuse of the Platform
  • Your breach of these Terms
  • Your violation of applicable laws

16. Termination

We may suspend or terminate access if:

  • You breach these Terms
  • We are required to do so by law
  • We reasonably believe there is risk to the Platform or Users

17. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
